Private companies under the new Act are prohibited to offer securities to the public and the transferability of their shares are also restricted. They are normally granted the status of ‘Proprietary Limited (PTY) Ltd’ upon registration and incorporation.

Personal Liability Companies (Inc.)

The directors and past directors of such companies are jointly and severally liable together with the company for any debts and liabilities arising during their periods of office. Personal liability companies are normally granted ‘Incorporated or Inc.’ status upon registration.

Non-profit Companies (NPC)

A company incorporated for public benefit or other object relating to one or more cultural or social activities, or communal or group interests; and The income and property of which are not distributable to its incorporators, members, directors, officers or persons related to any of them.

The Company Name Reservation

The new Companies Act 2008 provides for name reservations. If a proposed name is rejected, the company may still be registered and the registration number then becomes the name of the company at incorporation, until such time as appropriate name has been reserved or approved. A BEE EME Certificate is for any business entity which has an annual total revenue of R 5 million or less. Only Accounting Officer’s, Auditor’s or Accredited Verification Agencies may issue a BEE EME Certificate.
